Terms of Service
These terms are the agreement between your organisation and 8Seneca for using Alicorn. We have kept them short and plain. Where a word is capitalised, it means the thing named here.

1. Acceptance
These terms apply to the Alicorn service that 8Seneca, a company based in Vietnam ("8Seneca", "we", "us"), hosts, and to the Alicorn apps and CLI that connect to it. By creating an organisation, accepting an invitation, or using Alicorn, you accept these terms for yourself and for the organisation you act for, and you confirm you have the authority to do so.
A signed agreement comes first. If your organisation has signed an order form, master agreement or other written agreement with 8Seneca for Alicorn, that agreement prevails over these terms wherever they differ.
Our Privacy Policy explains how we handle personal data, and our Data Processing Addendum forms part of these terms for the content we process for your organisation.
2. Accounts and organisations
- You sign in with an email link, or with Google or Microsoft. Keep access to your email and sign-in accounts secure: whoever controls them can sign in as you.
- The first person to create an organisation is its Owner. Owners and Admins invite people, set their roles (Owner, Admin, Member, or client guest) and remove them. An organisation always keeps at least one Owner.
- A client guest sees only what the project lead or a task owner shares with them, one item at a time.
- Your organisation is responsible for who it invites and for what its people and their agents do in Alicorn.
3. Your responsibilities
Alicorn runs agent work on your machines, not ours. So your organisation is responsible for:
- Runners: the machines you enrol to run agent work, their security, and what they can reach.
- The model gateway and its keys: the gateway your organisation runs, the model providers it calls, your agreements with those providers, and the keys. 8Seneca hosts no model and holds no model key.
- Repositories and connections: the git hosts, work trackers, chat and finance systems you connect, the access you give Alicorn to them, and your rights to the code and data in them.
- Content: having the right to put your content into Alicorn, and a lawful basis for any personal data in it.
4. Acceptable use
Do not use Alicorn to:
- break the law, or infringe anyone's rights, including intellectual property and privacy;
- attack, probe or overload the service, or get around its limits or security controls;
- reach another organisation's data, or share your access with people outside your organisation;
- send spam or abusive invitations;
- build malware, or direct agents at systems you are not authorised to use;
- resell the service without our written agreement.
We may suspend access that breaks these rules, and we will tell you why unless the law prevents it.
5. AI output
- Agents in Alicorn use models your organisation chooses. Their output can be wrong, incomplete or insecure, and can resemble existing material.
- Your organisation reviews AI output before it relies on it. Alicorn's gates and checks help, but they do not replace that review.
- Merge, release and money always need a person in the named role. No agent, automated decision, voice command or typed "yes" passes those gates on its own.
- Agents act with tokens narrower than their owner's, so an agent can never do more than the person it works for. What an agent does is done on its owner's behalf.
6. Fees
- Alicorn has a free plan and paid plans. Paid plans are priced per builder seat, monthly or yearly, as shown when you buy.
- If you buy online, Paddle sells the subscription as merchant of record, and Paddle's checkout terms also apply to that purchase. Otherwise we invoice you as agreed in writing.
- Prices exclude taxes unless stated; Paddle or the invoice adds the taxes that apply.
- Subscriptions renew until cancelled. If a payment fails, the plan keeps working for a grace period; after it, or after cancellation, the organisation moves to the free plan. Nothing is deleted, and paying again restores the plan.
- Fees already paid are not refunded, except where the law requires.
7. Your content and our IP
- Your content is yours. Your organisation owns what it puts into Alicorn and what its agents produce for it, as far as the law allows. You give us only the rights we need to run the service for you.
- We do not use your content to train AI models. We host no model to train.
- Alicorn is ours. 8Seneca owns the service and the software. We give your organisation the right to use it under these terms, for its own business.
- If you send us feedback, we may use it without owing you anything.
8. Confidentiality
Each side keeps the other's non-public information confidential, uses it only for this agreement, and shares it only with people who need it and are bound to keep it confidential. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed (with notice to the other side where allowed).
9. Availability and support
We work to keep Alicorn available and to fix problems quickly, but we give no service-level commitment unless one is agreed in writing. We may change or improve features. If we remove a feature your organisation relies on, we will tell Owners first.
10. Warranties disclaimer
Apart from what these terms expressly say, Alicorn is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including fitness for a particular purpose, merchantability and non-infringement, and we do not warrant that AI output is accurate or that the service will be uninterrupted.
11. Limitation of liability
- Neither side is liable for indirect or consequential loss, or for lost profits, revenue or data, even if warned of it.
- Each side's total liability under these terms is limited to the fees your organisation paid for Alicorn in the 12 months before the claim. On the free plan, that limit is USD 100.
- These limits do not apply to liability that the law does not allow to be limited, such as for fraud, wilful misconduct, or death or personal injury caused by negligence.
12. Termination and your data
- Your organisation can stop using Alicorn at any time, and cancel a paid plan.
- We may suspend or end access for a serious breach of these terms, with notice where we can give it.
- Exports. Reports, time and finance exports, and Library templates can be exported from the product today. For a complete export of your organisation's content, ask us at the address below and we will provide it.
- Deletion. When the agreement ends, we delete your organisation's content on request, as the Data Processing Addendum sets out, except what the law requires us to keep.
- Sections that by their nature should survive (such as confidentiality, liability and governing law) survive the end of the agreement.
13. Governing law
These terms are governed by the laws of Vietnam. Disputes go to the competent courts of Ho Chi Minh City, Vietnam. A signed agreement with 8Seneca may choose a different law or forum, and then that choice applies. Nothing here removes rights you have under mandatory consumer or data protection law where you live.
14. Changes to these terms
We may update these terms. We change the date at the top, and for a material change we tell organisation Owners by email at least 30 days before it takes effect. If your organisation does not agree, it can stop using Alicorn before then.
